State and Their Prohibiting to Conduct Business: A Case Study of the PTT Group Purchase of GLOW and the Café Amazon Shares

Abstract

            This article presents the principles of Thai Public Law and Thai State Enterprise on the legal issue of prohibiting the state enterprise to conduct business with concentration on the PTT Group Company on the issue of a PTT is subsidiary buying shares from Glow Company and entering into the coffee business: Cafe Amazon. 

            The presented principles are whether  the operation of the PTT Group's electricity business is contrary to the principle of prohibiting the state of economic activity or not, and the business of the Amazon coffee shop of PTT Public Company Limited or its subsidiary is contrary to the principle of prohibiting the state from engaging into business operations.

            The author describes, summarizes and makes recommendations from the legal rules and the rulings of France courts as a comparison to this principles.
